Terms of Service

These Terms of Service ("Terms") govern access to and use of Counseld, provided by Modest Minds Private Limited ("Counseld," "we," "us"). By creating an account or using Counseld, you agree to these Terms. If you're using Counseld on behalf of a school, you confirm you're authorized to accept these Terms for that school.

The service

Counseld is a workspace for school counsellors: student profiles, session notes, voice-note summaries, calendar and reporting tools. Counseld is built for school counsellors and is not intended as a clinical or therapy-practice management tool for licensed therapists or clinics.

Plans and billing

Counseld offers one free 7-day trial per account (10 sessions, where a session is one AI-structured note), and paid plans (Lite, Pro, and a 6-Month plan) billed as shown on our pricing page. Prices for Indian customers include GST. Extra session credits can be purchased as top-ups while a paid plan is running, and they never expire. A change of plan takes effect at the next renewal.

A payment method is required to start the free trial. You will not be charged until the trial ends, and you may cancel any time before then at no cost.

Monthly plans (Lite, Pro) renew automatically each month until cancelled. The 6-Month plan is billed once for the full term. You can cancel automatic renewal at any time from your account; cancellation takes effect at the end of the current billing period, and we do not provide partial refunds for unused time within a period. Your data, your responsibility

You (the counsellor) and your school are responsible for the accuracy of information entered into Counseld and for obtaining any consent required — such as parental or guardian consent — before entering a minor's information, in line with applicable law including India's DPDP Act. Acceptable use

You agree not to use Counseld to store or process data you're not authorized to hold, to attempt to access another counsellor's records, to reverse-engineer or resell the service, or to use it in any way that violates applicable law.

Availability and changes

We aim to keep Counseld available and reliable but do not guarantee uninterrupted access. We may update features, pricing, or these Terms from time to time; material changes will be communicated to active subscribers by email, and continued use after a change constitutes acceptance.

Termination

You may stop using Counseld and cancel your subscription at any time. We may suspend or terminate accounts that violate these Terms. On termination or non-renewal, associated data is deleted per the retention timeline in our Privacy Policy.

Limitation of liability

Counseld is provided "as is." To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from use of the service. Nothing in these Terms limits liability that cannot be excluded under applicable law.

Governing law

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.
